Gesmer Updegrove LLP is a dynamic, growing law firm which has been leading the way in the emerging company and information technology legal community since the firm's founding in 1986. Attorneys at the firm enjoy a strong sense of camaraderie and trust among their peers. Our firm culture fosters a collegial environment and does not focus on unrealistic expectations and demands.

HOURS AND COMPENSATION:

The firm offers salaries that are competitive with other mid-size Boston law firms and a benefits program equal to or better than those of larger firms in our area. Attorneys generally work between nine and ten hours per day. Hours do vary depending on the needs of clients and projects on which the attorney is involved. Complex business transactions, trials and other important deadlines sometimes require increased working hours. While the nature of our profession requires a high level of commitment, we believe that it is important for all of our attorneys to have interests outside of the office and to have time to pursue their personal goals. (back)

MENTOR PROGRAM:

The firm utilizes a Mentor Program to help assimilate new associates into the firm. Each new associate, whether entering the firm as a lateral or coming straight from law school, is assigned another more senior associate within the firm who outlines firm policies, work environment and answers any questions the new associate might have. The mentoring program lasts for months and consists of scheduled meetings to help foster the relationship.

 In addition, each associate is assigned a partner mentor who meets with the associate on an informal basis.  The mentors are rotated among the associates periodically. This provides the attorneys the opportunity to get to know one another better and enables the associates to learn more about the firm. (back)

PROFESSIONAL DEVELOPMENT:

The firm strongly encourages ongoing professional development and continuing legal education. This development is not confined to specific programs and topics. Certainly, MCLE courses and Bar Association Seminars are encouraged, but these are by no means the full extent of the continued legal education of our attorneys.

We offer an important learning experience every Thursday with our Associates Lunch. At each lunch one or more senior attorneys presents an informal discussion of varying practice-related legal issues. The lunchtime discussions address a wide variety of issues, from new developments encountered by a particular attorney, to client management skills, to reviews of particular substantive areas of law.  The informal nature of this program offers a more candid look at our practice and presents an outstanding opportunity to learn and ask questions about issues germane to our practice. (back)

COUNSELING AND REFERRAL PROGRAMS:

Gesmer Updegrove offers access to free, confidential counseling services through an employee assistance program. This service is available to all of our employees and members of their immediate families. The counseling and referral service is available for help with personal problems, such as substance abuse, family difficulties, stress, financial and emotional issues. The EAP also offers referrals for childcare, elder care and adult services (back)

BAR EXAM FEES AND BAR MEMBERSHIPS:

The firm pays for the Massachusetts Bar Exam application fee and for the cost of the bar preparatory course for our new attorneys who are not members of the Massachusetts Bar. We also pay the membership dues for appropriate bar associations. The firm reimburses new associates for the Multistate Professional Responsibility Exam. (back)

OTHER BENEFITS:

Gesmer Updegrove offers exceptional health, dental, retirement and long-term care benefits. We offer Blue Cross Blue Shield health insurance and the firm covers 80% of the single or family coverage premium of the HMO Blue and Blue Choice plans. We also offer a group dental plan and the firm pays 80% of the single or family coverage premium. All contributions are taken pre-tax and the firm allows dependent care deductions up to $5,000. The firm also offers a pre-tax T-pass program.

The firm provides life insurance, accidental death and dismemberment insurance, a long-term disability group plan, long-term disability wrap, long-term care insurance and short-term disability insurance, all of which are paid 100% by the firm.

For attorneys, we offer 20 paid vacation days per year on an accrual basis as well as 12 paid holidays throughout each calendar year. The firm has a 401(k) plan and maintains a profit sharing plan as an additional component of the 401(k). The firm matches employee contributions to the 401(k) plan at the rate of 25%, up to 3% of the employee's salary.

LEGAL EMPLOYMENT OPPORTUNITIES:

Tax Partner

Job Description:
The firm is seeking a full time tax partner. The ideal candidate would have substantial exposure and research experience with the IRC and experience in advising businesses with respect to the tax aspects of M&A transactions of technology companies. Candidate should be up to date and have a working knowledge of 409A (including valuation procedures and application to severance agreements), restricted stock issues, LLCs and S corporations, general reorganization issues, Type A, B and F reorganizations and some tax exempt entity knowledge. ISO's, SAR's and phantom stock plans, some foreign tax experience would be helpful. Taxation of patents and other intellectual property in sales/reorganization deals, good research skills and reasonably up to date on current status of tax law. Probate experience would be helpful but not necessary. Expectation would be that candidates will have portable billings. An LLM and/or CPA would be desirable but is not required.

Tax Associate

Job Description:
The firm is seeking a full time junior tax associate, preferably with an LLM. The candidate will work closely with the firm's tax partner, and the position will also include corporate work.

Webmaster

Job Description:
Consults with design, technical, and marketing staff to plan Website development. Develops technical architecture of Websites including scripting, database design, and user interface design. Refreshes Website content to ensure accuracy and timeliness of information and images. Stays abreast of industry trends and all applicable technologies, including scripting, security issues, authoring tools, graphic design tools, and new languages. Integrates new technologies into Website. Answers or forwards to management any Website-related e-mail questions from users. Communicates with other personnel regarding technical requirements of Website and upcoming projects or events related to Web site. Analyzes traffic to Website and recommends any necessary programming changes. Manages transfer of files and memory allocation for Website on the server. Creates automatic systems of data and content storage on Website. Provides technical support and participates in employee Website training.

Collaborates with external vendors on special Website events, promotions, marketing campaigns, or specific design projects.

Works with information services and other internal departments to create internal Websites running on proprietary intranets.

Candidate should have experience with HTML, PHP, MySQL, running Apache on web server, basic Linux administration as it pertains to administering Web services, FTP, etc.

Education: Bachelor's degree from four-year college or university or two-five years related experience and/or training; or equivalent combination of education and experience.
